These Terms of Service ("Terms") are a legal agreement between you and JWK Strategic Group LLC, an Arizona limited liability company that operates Nuroove ("Nuroove," "we," "us," or "our"). They govern your access to and use of the Nuroove application, website, and related services (the "Service").
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Nuroove is a financial analytics tool. You connect your business bank accounts, and we calculate informational figures such as how much you can safely spend, your runway, your monthly burn, and your revenue and profit trends, and we send alerts when thresholds are crossed.
Nuroove is not a bank, lender, broker, or money transmitter. Our access to your accounts is read-only; we cannot move, hold, send, or withdraw your funds.
Nuroove does not provide financial, investment, tax, accounting, or legal advice. The numbers and alerts the Service produces are informational estimates based on the data you connect and the settings you provide. They may be incomplete or inaccurate, and they are not a substitute for professional advice. You are solely responsible for your financial decisions. Consult a qualified professional before acting on anything you see in Nuroove.
To use the Service you must be at least 18 years old and using Nuroove for business purposes. If you use Nuroove on behalf of a company, you represent that you are authorized to bind that company to these Terms, and "you" includes that company.
You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly at privacy@jwkstrategic.com if you suspect unauthorized access. We are not liable for losses arising from your failure to safeguard your credentials.
You connect financial accounts through Plaid. By connecting an account, you authorize Plaid and Nuroove to access and use your account information as described in our Privacy Policy, and you agree to Plaid's own end-user terms and privacy policy at https://plaid.com/legal. You represent that you are authorized to connect each account you link and to share its data with us. You can ask us to disconnect a linked account at any time.
Free trial. New subscriptions begin with a free trial of the length shown at checkout. A valid payment method is required to start the trial.
Paid subscription. Unless you cancel before the trial ends, your subscription automatically converts to a paid plan and you authorize us, through our payment processor Stripe, to charge the subscription fee disclosed at checkout. Subscriptions renew automatically for successive periods until cancelled.
Cancellation. You may cancel at any time; cancellation takes effect at the end of your current billing period, and you retain access until then.
Refunds. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods.
Price changes. We may change subscription pricing on a going-forward basis; we will give you reasonable advance notice, and changes take effect at your next renewal.
Payments. Payment processing is handled by Stripe and is subject to Stripe's terms. We do not receive or store your full card details.

We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to Nuroove or others.
The Service, including its software, design, and content (excluding your data), is owned by JWK Strategic Group LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes while your account is in good standing. You retain all rights to the financial and business data you connect or provide; you grant us the rights necessary to process that data to provide the Service as described in our Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CALCULATION, METRIC, OR ALERT WILL BE ACCURATE, COMPLETE, OR TIMELY. THE SERVICE DEPENDS ON THIRD-PARTY DATA (INCLUDING DATA FROM PLAID AND YOUR FINANCIAL INSTITUTIONS) THAT WE DO NOT CONTROL AND CANNOT GUARANTEE.
NOTHING IN THE SERVICE CONSTITUTES FINANCIAL, INVESTMENT, TAX, ACCOUNTING, OR LEGAL ADVICE.
TO THE FULLEST EXTENT PERMITTED BY LAW, JWK STRATEGIC GROUP LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE OR ANY FINANCIAL DECISION YOU MAKE BASED ON IT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
You agree to indemnify and hold harmless JWK Strategic Group LLC from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your data, or your violation of these Terms or applicable law.
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends; sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive.
We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms; if we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use after a change takes effect means you accept the updated Terms.
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Arizona will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to venue there.
